Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and [Company Name] ("MenuGaze," "we," "us," or "our") governing your access to and use of the MenuGaze platform, including the websites, APIs, mobile interfaces, and all related services (collectively, the "Service").

By creating an account, accessing the Service, or placing an order through a restaurant menu powered by MenuGaze, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

Who These Terms Apply To

• Restaurant Owners and Operators ("Subscribers") who create accounts to manage digital menus, upload content, and subscribe to paid plans.
• End Diners ("Visitors") who view restaurant menus, interact with 3D models, or place orders through the Service without creating an account.

Age Restriction

The Service is not directed at individuals under the age of 18. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms.

Updates to These Terms

We may update these Terms from time to time. We will provide at least 30 days' advance notice of material changes via email. Your continued use of the Service after the effective date constitutes acceptance of the changes.

MenuGaze is a SaaS platform that enables restaurants to create, manage, and distribute digital menus. The platform offers two core products and one optional add-on:

PhotoMenu

An AI-enhanced digital photo menu. Restaurant owners upload photographs of their dishes, and the platform processes them using AI to produce professional-quality images. Menus are published to a unique public URL.

3D Menu Pro

An interactive 3D food visualization product. In addition to photo enhancement, 3D Menu Pro generates three-dimensional models of menu items using AI. Diners can rotate, zoom, and inspect 3D representations of dishes on their devices.

Ordering Suite (Add-On)

An optional tableside ordering module that enables QR-code-based ordering from the digital menu. The Ordering Suite is a separate monthly subscription and requires an active PhotoMenu or 3D Menu Pro subscription.

The specific features available to you depend on your selected product and subscription tier. Feature availability is described on our pricing page and may change with advance notice.

To use the Service as a Subscriber, you must create an account by providing accurate and complete information.

Your Obligations

• Accurate Information. You must provide truthful, current, and complete registration information and keep it updated.
• One Account Per Person. Each individual may maintain only one MenuGaze account. Creating multiple accounts to circumvent limits or abuse free trials is prohibited.
• Credential Security. You are solely responsible for maintaining the confidentiality of your login credentials. Notify us immediately at security@menugaze.com if you suspect unauthorized access.
• Account Activity. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if the information you provided is materially inaccurate or misleading.

Prices are in USD and do not include applicable taxes.

Free Trial

New subscribers are eligible for a 14-day free trial. A credit card is required at checkout to start the trial. You will not be charged until the trial ends. Each account is limited to one free trial. You may cancel at any time during the trial at no cost. At the end of the trial, your selected plan begins billing automatically.

Grace Period

If your subscription lapses, your account enters a grace period during which your menu remains accessible in read-only mode. If payment is not resolved within the grace period, your account may be suspended.

Payment Processing

All payments are processed through a third-party payment processor. MenuGaze does not store or have access to your full credit card numbers.

Auto-Renewal and Cancellation

All subscriptions automatically renew monthly. You may cancel auto-renewal at any time through your dashboard or by contacting support. No refunds are issued for partial months.

Price Changes

We may change subscription prices with at least 30 days' advance notice via email. If you do not agree to the new pricing, you may cancel before the change takes effect.

Your Content

You retain full copyright and ownership of all content you upload to the Service ("User Content"). MenuGaze does not claim ownership of your User Content.

License Grant

By uploading content, you grant MenuGaze a non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your content solely for providing the Service. This license terminates when you delete the content or your account is terminated, subject to our data retention policy.

AI-Generated 3D Models

3D models generated by the Service are created from your uploaded photographs using third-party AI services. To the extent MenuGaze holds any intellectual property interest in the resulting models, MenuGaze assigns all such interest to you. You own the 3D models generated from your content.

Content Warranties

You represent and warrant that you own or have obtained all necessary rights for content you upload, that it does not infringe the rights of any third party, and that it complies with applicable laws.

Platform Intellectual Property

The MenuGaze platform, including its software, design, branding, and documentation, is the exclusive property of [Company Name] and is protected by intellectual property laws.

You agree to use the Service only for lawful purposes. The following are expressly prohibited:

Prohibited Content

• Uploading images or media you do not have the right to use
• Defamatory, harassing, or libelous content
• Menu items advertising illegal products or services
• Intentionally deceptive or misleading content about menu items

Prohibited Conduct

• Attempting to access other users' accounts or Service infrastructure without authorization
• Reverse-engineering any part of the Service
• Scraping or automated extraction of data beyond public menu URLs
• Circumventing rate limits, authentication controls, or security measures
• Submitting fraudulent or automated orders
• Unauthorized use of MenuGaze's name, logo, or branding
• Actions that impose unreasonable load on or interfere with our infrastructure

Ordering Suite Responsibilities

If you use the Ordering Suite, the restaurant is solely responsible for order fulfillment, food safety compliance, allergen disclosure, and accuracy of menu pricing and descriptions. MenuGaze is a technology provider and is not a party to transactions between restaurants and diners.

MenuGaze respects intellectual property rights and responds to notices of alleged copyright infringement under the DMCA.

Designated Agent

DMCA notices should be sent to dmca@menugaze.com.

Filing a Notice

A valid DMCA notice must include: identification of the copyrighted work and the infringing material, your contact information, a good-faith belief statement, and a statement under penalty of perjury that you are the copyright owner or authorized to act on their behalf.

Counter-Notification

If you believe your content was removed by mistake, you may submit a counter-notification to our designated agent with your identification, the removed content details, and a good-faith belief statement.

Repeat Infringer Policy

Accounts that receive three valid DMCA notices within any 12-month period will be permanently terminated.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

MenuGaze disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be available at all times, that AI processing will succeed for every image, or that AI-generated content will meet your quality expectations. The Service relies on third-party providers for payments, storage, and AI processing, and we are not responsible for their availability or performance.

For end diners: all menu content, including descriptions, prices, and allergen information, is provided by the restaurant owner. MenuGaze does not verify menu accuracy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Liability Cap

MenuGaze's total aggregate liability shall not exceed the greater of: the fees you paid to MenuGaze in the 12 months preceding the claim, or $100.00 USD.

Exclusion of Damages

MenuGaze shall not be liable for indirect, consequential, incidental, punitive, or special damages, including loss of revenue, profits, data, or goodwill. MenuGaze is also not liable for failures of third-party services upon which the Service depends.

Applicability

These limitations apply to the maximum extent permitted by law. Some jurisdictions do not allow certain limitations, in which case our liability will be limited to the greatest extent permitted. Nothing in these Terms limits liability for death, personal injury caused by negligence, or fraud.

You agree to defend, indemnify, and hold harmless MenuGaze and its affiliates from claims arising out of:

1. Your User Content infringing or violating the rights of any third party.
2. Your breach of any provision of these Terms.
3. Your violation of law in connection with your use of the Service.
4. Restaurant customer claims arising from orders placed through the Ordering Suite, including food quality, safety, or pricing issues.

Voluntary Cancellation

You may cancel your subscription at any time through your dashboard. Upon cancellation, your subscription remains active through the end of your current billing period. Your data is retained for 90 days after cancellation, during which you may reactivate and recover your data. After 90 days, data is permanently deleted.

Suspension or Termination by MenuGaze

We may suspend or terminate your account if you violate these Terms, fail to pay after the grace period, engage in fraud, or commit repeat copyright infringement. Termination for cause may result in immediate data deletion without the 90-day retention period.

Survival

Sections 5 (User Content and IP), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and this Section 11 survive termination.

Governing Law

These Terms are governed by the laws of [Jurisdiction].

Dispute Resolution

Before formal proceedings, you agree to contact us at legal@menugaze.com and attempt informal resolution for at least 30 days. If unresolved, disputes may be submitted to binding arbitration. Either party may bring individual claims in small claims court as an alternative.

EU and UK Consumer Rights

If you are a consumer in the EU or UK, nothing restricts your right to bring proceedings in your local courts, invoke mandatory consumer protection laws, or use the Online Dispute Resolution platform.

Class Action Waiver

Disputes will be conducted on an individual basis only, not as part of a class or representative action.

We may modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email and update the "Last updated" date. Your continued use after the effective date constitutes acceptance. Non-material changes may be made without advance notice.
